Terms and Conditions

1. Object

These Terms and Conditions govern the purchase of products and services offered by Novabase S.r.l. (hereinafter "Novabase") via the SmartCold Monitor website. By purchasing our products or services, you accept these terms in full.

2. Contracting Parties

The contract is stipulated between Novabase S.r.l. (Via Francesco Filos 25, 38015 Lavis (TN), VAT number 02458530222) and the customer (natural or legal person) who makes the purchase. The services are intended exclusively for professional operators (B2B).

3. Products and services

Novabase offers IoT hardware devices for cold chain monitoring and subscriptions to the SmartCold Monitor cloud platform. The technical characteristics of the products are described in the respective product data sheets.

4. Pricing and invoicing

All prices are expressed in Euros and are exclusive of VAT, unless otherwise indicated. Novabase reserves the right to change prices at any time. Subscriptions are automatically renewed unless canceled at least 30 days in advance.

5. Orders and payment

The order is considered completed upon confirmation via email by Novabase. Payments must be made according to the methods indicated during checkout. In case of non-payment, Novabase reserves the right to suspend access to the services.

6. Delivery

The hardware devices are shipped to the address indicated when ordering. The delivery times indicated are purely indicative. Novabase is not responsible for delays attributable to the courier or causes of force majeure.

7. Warranty and assistance

The hardware devices are covered by a 12-month warranty from the date of purchase against manufacturing defects. The warranty does not cover damage from misuse, accidents or unauthorized modifications. Technical support is available via email during business hours.

8. Limitation of Liability

Novabase is not responsible for indirect damages, loss of data or lost profits resulting from the use or inability to use the service. Novabase's overall liability is in any case limited to the amount paid by the user in the last 12 months.

9. Right of withdrawal

Since these are B2B contracts, the right of withdrawal provided for consumers by the Consumer Code does not apply. Any returns must be agreed with Novabase within 14 days of delivery and are subject to acceptance.

10. Applicable law and competent court

These Terms are governed by Italian law. For any dispute, the Court of Trento will have exclusive jurisdiction.
